Terms & Conditions

Effective date: July 25, 2026. Nano Influencer is a product operated by Palm Beach Equity Partners LLC (“we,” “us”), a Delaware limited liability company that controls and incubates the Nano Influencer application. By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 and able to form a binding contract. Business-account users represent they are authorized to bind their business. The Service is offered to U.S.-based users.

2. Accounts & security

Provide accurate information, keep your credentials secure, and remain responsible for activity on your account. We verify your phone and/or email with one-time codes.

3. The marketplace — our role

Nano Influencer is a venue that connects businesses and influencers. We are not a party to, and do not guarantee, any agreement, campaign, payment, or outcome between users, and we are not an employer, agent, or partner of any user. Influencers act as independent contractors of the businesses they work with, not of us.

4. Payments, platform fee & payouts

Businesses authorize us (via Stripe) to charge their payment method for offers. We retain a platform service fee (currently 30%) on transactions. Influencer payouts are made through Stripe Connect; to receive payouts you must complete Stripe onboarding and agree to the Stripe Connected Account Agreement. We are not a bank or money transmitter and do not hold funds as principal; payout timing and holds are subject to Stripe. Fees are disclosed and non-refundable except as stated in our cancellation/refund policy.

5. Taxes

You are responsible for your own taxes. Influencer earnings may be reportable income; we or Stripe may collect tax information (e.g., W-9) and issue forms (e.g., 1099) where required. We are not a tax advisor.

6. Your content & license

You retain ownership of content you submit and grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, display, and promote it in connection with the Service. You represent you have all rights to the content and that it does not infringe or violate any law or third-party right.

7. Acceptable use

No fraud, fake followers or engagement or manipulated metrics, harassment, illegal or infringing content, scraping, reverse engineering, or security abuse. Sponsored content must comply with FTC disclosure rules. You must comply with the terms and community guidelines of any connected platform (Instagram, TikTok, Meta, Google).

8. No off-platform circumvention

You may not use the Service to make contact and then transact off-platform to avoid the platform fee. Doing so is a material breach.

9. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE.” We make no guarantee of earnings, campaign results, follower growth, business legitimacy, or the accuracy of third-party data or the Social Score, which is an estimate only.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, consequential, special, or punitive damages, and our aggregate liability is limited to the greater of the fees you paid us in the prior 12 months or $100. Some jurisdictions do not allow certain limits, which may not apply to you.

11. Indemnification

You will indemnify and hold us harmless from claims arising out of your content, your use of the Service, your taxes, your disputes with other users, and your violation of these Terms, applicable law, or third-party rights.

12. Termination

We may suspend or terminate accounts for breach; you may close your account at any time. Provisions that by nature should survive (amounts owed, the content license for residual copies, disclaimers, liability limits, indemnity, and dispute terms) survive termination.

13. Dispute resolution & governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

14. Copyright (DMCA)

We respond to notices of alleged copyright infringement and terminate repeat infringers. Send notices to our designated agent at developer@pbequitypartners.com.

15. Changes

We may update these Terms; continued use after the new effective date is acceptance. Material changes will be notified in-app or by email.
